When seat and business address differ

The issue becomes relevant when the company moves, management changes location, service organisation changes or the company moves to another municipality. Not every address change automatically changes the statutory seat.

Three items must be distinguished: the statutory seat under section 5 GmbHG, the business address entered in the company register, and the plain service address for postal delivery. A move within the same municipality often affects only the business address, while a move to another town can touch the statutory seat and therefore require an amendment.

Align articles and company register

The articles state the company seat. If that seat changes, resolution path, form and register implementation must be planned carefully. A mere change of service address may need different treatment.

Changing the statutory seat amends the articles and therefore requires a notarised shareholder resolution and registration under section 49 GmbHG. Pure business address changes within the same seat can be filed by management.

Relevant sources are GmbHG, the Austrian Company Register Act and UGB in the register context. Service issues also depend on the concrete communication and representation arrangements.

Service address and external wording as risk areas

Wrong or inconsistent addresses can cause missed letters, bank questions and misunderstandings with business partners. Register position, stationery, website, contracts and service practice should therefore be aligned.

A short transition list helps in practice: company register, tax office, social insurance, trade authority, banks, key contracting parties and insurers receive the new address in a defined order. In pending proceedings, a service power of attorney should also be considered so that deadlines do not lapse silently.

The checklist prepare amendment is useful. For formal issues, notarial deed is a good starting point.
